Water Authority Brabantse Delta assigns maintenance order to ICT Group

ROTTERDAM, June 30, 2021 – ICT Group’s Managed Services unit has been awarded a contract by Water Authority Brabantse Delta for maintenance of the process automation of wastewater treatment plants (WWTPs) and sewage pumping stations. It concerns a contract for 5 years with an option for extension.

Preventive and corrective maintenance

The contract includes preventive maintenance, corrective maintenance and making minor changes to the local and central process automation of the WWTPs and sewage pumping stations of the water authority. Preventive maintenance is performed on the process automation so that all hardware and software components of which it is composed continue to function correctly. The goal is to prevent failures by detecting and correcting possible defects before they manifest themselves as failures. Corrective maintenance is required to restore the proper functioning of an object that has suffered a failure. It involves work that is necessary to eliminate the cause of the failure and to repair any parts that have become defective.

The repair of malfunctions relates to the entire process automation system at the sewage pumping stations and WWTPs. Among others from Scada network, the PLC network, Alert local, and link(s) to other central systems. This means that ICT Group is available 24/7 for direct support to the Water Authority in case of failures and calamities.

ICT Group nominated for Computable Awards 2021

ICT Group is nominated for the Computable Awards 2021. For the general jury the PALGA contract was the reason to nominate ICT Group in the category Service Integrator.

About the Computable Awards

Ict trade title Computable has handed out ten nominations within the Computable Awards 2021 in the category Service Integrator. People can vote as from July 5th  and the winner will be announced on November 2nd.

A group of in total 21 Computable experts has digitally assessed the 36 nominations in the category Service Integrator. Their assessment formed the basis for the general jury of the Computable Awards 2021 to choose the ten nominees. This jury team consists of Artie Debidien, Stijn Grove, Bart van der Mark, Ruud Mulder and Fred Streefland. The nominations have been tested on the distinguishing capacity of the supplier, the distinguishing capacity of the product and what makes the company special according to the submitter.

ICT Group sells its minority interest in Greenflux

All shareholders in Greenflux Assets B.V. (‘Greenflux’) and Novofleet Verwaltungsgesellschaft mbH, a subsidiary of European mobility provider DKV Mobility Services (‘DKV’) signed a sale and purchase agreement with respect to all shares in Greenflux. Closing of the transaction is anticipated later this month. This cash transaction will result in a one-off net profit of approximately € 8.2 million, which will be reflected in the Q2 results.

ICT convenes extraordinary General Meeting of Shareholders

ICT Group N.V. (ICT) today published the convocation for its Extraordinary General Meeting of Shareholders (EGM) that will be held on 9 July 2021 at 11:00 in Rotterdam, the Netherlands. The EGM is convened in connection with the Public Offer made by a consortium led by NPM capital, which was officially launched today. The Offer Memorandum and the Position Statement have been published on the company’s website. 

The EGM will be held at the Groothandelsgebouw, Engels Meeting & Conference Center, Stationsplein 45 in Rotterdam, if circumstances in relation to COVID-19 measures allow. ICT will closely monitor this situation and act in line with what is deemed appropriate by the designated authorities. As currently permitted under the emergency legislation, ICT may decide to hold the EGM virtually only, ultimately on the day before the record date. ICT will inform shareholders through the Company’s website if any changes regarding the EGM occur.

In September, the annual cycling event Amstel Gold Race will be held in the hills of Limburg. This year a special women’s team will participate, which is supported by ICT Group. On 11 September, 500 women, including Leontien van Moorsel, Wendy van Dijk and Anouk Smulders, will cycle the route.

On the 11th of may ICT HCTS signed the Partners for International Business (PIB) GermanE-Health in an online ceremony.

ICT Group N.V. (ICT) announces that the Annual General Meeting of Shareholders (AGM), which was held today via webcast, adopted all proposed resolutions. This included the adoption of the annual accounts and the reappointment of Mr. Theo van der Raadt, as member of the Supervisory Board of ICT Group.

In line with the proposal, the AGM approved a dividend of € 0.40 per share for the 2020 financial year. The dividend in cash will be payable on 3 June 2021. The ex-dividend date is 14 May 2021 and the record date is Monday 17 May 2021 after closing of the stock exchange.

  • Revenue in Q1 2021 up 5% to € 43.7 million (Q1 2020: € 41.6 million)

“In Q1 2021 we saw the trends continuing, including the ongoing strong performance of our nearshoring and project businesses, and at the same time the impact of Covid-19 still weighing on other activities. Moreover, Covid-19 is constraining our recruitment activities, which makes it harder to attract new talent. This in particular contributed to a flat organic revenue development. Thanks to the contribution of the acquisitions Yellowstar and Esprit, reported revenue growth came in at 5%.

The EBITDA development reflects the increased productivity levels, which we saw improving since last summer. In combination with our continued cost discipline, EBITDA improved compared to Q1 2020. 

As expected, the uncertainties related to Covid-19 continue to limit our visibility. Furthermore, the tight labour market continues to pressure organic growth. We are however well positioned and well equipped, thanks to our enhanced business agility, to continue our strategic journey.”

Financial developments
In the first quarter of 2021 revenue increased by 5% to € 43.7 million from € 41.6 million in the same period last year. This increase is mainly attributable to the acquisitions of Esprit (consolidated as of July 2020) and Yellowstar (consolidated as of January 2021). Organically, revenue was at the same level as Q1 last year. 

EBITDA increased 20% to € 5.4 million in the first quarter of 2021 compared to € 4.5 million in the same period in 2020. This increase is attributable to increased productivity levels as well as cost control measures. 

The EBITDA margin came in at 12.4%, an improvement compared to Q1 2020 (10.9%). 

At ICT Netherlands we saw an improvement in productivity levels, mainly in the Engineering R&D segment where the Automotive activities improved versus the first quarter last year. 

COVID-19 impacted the public transport activities, including TURNN and also Improve continued to be affected as the market for trainings is still at low levels. OrangeNXT faced lower project activity levels. 

The nearshoring activities in Bulgaria continued their strong performance, both in revenue and result. The productivity levels of the Swedish activities are improving versus the first quarter 2020. Also in Sweden, the tight labour market is limiting growth. 

On 1 April 2021, ICT announced the closing of the acquisition of Profit Consulting Eindhoven B.V. and Profit Consulting Apeldoorn B.V. as well as the acquisition of Strypes Nederland B.V. The latter includes a subsidiary in Portugal, Strypes Technical Software Unipessoal LDA Portugal, which provides ICT with a new nearshoring location. 

The labour market remains challenging and we foresee recruitment activities still being hampered by COVID-19, therefore we expect organic growth to continue to be pressured. Because of this, combined with the difficulty to predict the future business impact of the pandemic, we refrain from giving an outlook for the full year 2021.
